1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("Client," "you") and Harvest Click LLC ("Harvest Click," "we," "us"), a Dubai-based company with operations in Pakistan serving clients in the United States. By purchasing or using our services, booking a call, or submitting information through our website, you agree to these Terms.

2. Our services

Harvest Click provides patient growth systems and digital services, including:

• MedFlow — a Patient Revenue Recovery System (speed-to-lead, missed-call text-back, appointment booking, no-show reduction, database reactivation, review automation, unified inbox)
• Patient Acquisition System — paid advertising management add-on
• Web development — custom websites and booking funnels
• SEO & Local SEO — search rankings, Google Business Profile, reviews
• Paid marketing — Google and Meta advertising management

MedFlow is a patient recovery and automation system. It does not replace your practice management software, EHR, or CRM.

3. Pricing and payment

MedFlow: $747 one-time setup fee (first month included), then $397/month. The setup fee is non-refundable once work begins.

Patient Acquisition System: $997/month. Advertising spend is billed separately and paid directly to the ad platforms.

Subscriptions are billed monthly and may be cancelled at any time — cancellation stops future billing but does not refund the current billing period. If a payment fails, we may pause services until the account is current. You are responsible for any chargeback fees.

4. Your responsibilities

To deliver our services, you agree to:

• Provide timely access to the accounts, systems, and information we reasonably need
• Supply accurate business information and approve deliverables within a reasonable time
• Ensure you have proper consent to contact your patients and customers, and comply with all applicable laws including the Telephone Consumer Protection Act (TCPA), FCC messaging rules, CAN-SPAM, and HIPAA as they apply to your practice
• Not use our services for unlawful, deceptive, or abusive purposes

Delays caused by missing access, content, or approvals may extend delivery timelines.

5. No guaranteed results

Marketing and patient growth depend on many factors outside our control, including your market, pricing, staff follow-through, and ad platform policies. We do not guarantee specific numbers of patients, leads, appointments, revenue, rankings, or return on ad spend. Any figures shown on our website or in proposals are illustrative of past work or projections, not promises.

6. HIPAA and data handling

Where our services involve protected health information (PHI), Harvest Click will sign a Business Associate Agreement (BAA) with you as required by HIPAA. You remain responsible for HIPAA compliance within your own practice, systems, and staff. Our automation handles pre-booking communications and feeds booked patients into your existing systems — it does not replace your HIPAA-covered infrastructure.

7. Intellectual property

Work created specifically for you (website designs, copy, creative assets) becomes yours upon full payment. Our underlying systems, software configurations, templates, processes, and know-how remain the property of Harvest Click and are licensed to you for the duration of your subscription. You may not resell, sublicense, or reverse-engineer our proprietary systems.

8. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement, and not to disclose it to third parties except as needed to perform the services or as required by law.

9. Term and termination

Monthly services continue until cancelled by either party. You may cancel anytime with notice before your next billing date. We may suspend or terminate services for non-payment, breach of these Terms, or unlawful use, with reasonable notice where possible.

10. Limitation of liability

To the maximum extent permitted by law, Harvest Click's total liability for any claim arising from our services is limited to the fees you paid us in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or lost-profit damages.

11. Governing law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Dubai, UAE, unless otherwise agreed in writing.

12. Changes to these Terms

We may update these Terms from time to time. The "Effective date" above will reflect the latest revision, and continued use of our services after changes constitutes acceptance.
